The members of the Firm’s Insolvency and Restructuring team advise creditors such as leading banks, financial intermediaries and investment funds, as well as investors and debtor companies, on debt restructurings (both out of court and in the context of arrangements with creditors and insolvency proceedings). The Cappelli RCCD Litigation team also has significant experience on restructuring disputes and court-supervised insolvency proceedings. The Banking team often advises on DIP financing by private debt funds and other financial players. The Corporate and M&A team regularly advises investors and debtors in all corporate law based structures and investment arrangements which are regularly used in distressed investing. Cappelli RCCD advises on every aspect of the management of its clients’ relationships with their counterparts, with the courts and with other relevant bodies before and during insolvency, and on the related negotiations.
The team’s lawyers advise clients in relation to all stages of the management of a corporate crisis, from the identification of the most suitable legal instruments to achieve resolution, often proposing innovative solutions drawing on their multidisciplinary experience and close cooperation with the Structured Finance, Banking, Corporate and M&A and Litigation teams. Several restructuring and turnaround transactions supported by the Firm’s professionals have been executed through complex corporate operations, through the establishment of vehicles and platforms for the purchase of receivables (also in connection with loan-to-own and repossession transactions), and through extraordinary corporate finance transactions such as bond issues and public-to-private transactions structured as debt-for-equity swaps.
The members of the Insolvency Law and Restructuring team, due to their extensive knowledge and experience in the sector, regularly participate in working groups, consultations and preparatory works on legislative proposals in the area.
