Martino Liva deals mainly with corporate restructuring matters, debt restructuring (with a particular focus on debt to equity swaps and related issuance of equity financial instruments and shares to creditors) and distressed M&A transactions, as well as the acquisition of distressed assets. He mostly work for investment funds, but at the same time assisted corporates (also listed corporates) in managing restructuring process, mainly assisting corporate bodies on restructuring and corporate items.
He has also gained consolidated experience in corporate law, with particular reference to extraordinary transactions, mergers and acquisitions, private equity transactions (especially minority acquisitions) and the analysis and reorganization of complex corporate governance.
He advices certain start-up in early stage raising funds through issuance of financial instruments or hybrid instruments (equity/debt).
During 2017 he was appointed as in-house legal and corporate consultant in the Brussels EMEA office of a big insurance group.
Before starting his activity for Cappelli RCCD in February 2021, he worked in Milan at two different international law firm (Ashurst during 2015 and DLA Piper from 2016 to 2021) and he worked for 3 years (2011 – 2014) at Studio Notarile Marchetti in Milan, in the corporate department, with a focus on extraordinary transactions, mergers and acquisitions and corporate governance assistance for listed companies.
From 2016 he cooperates with the legal review “Il Societario”, published on-line by the editor Giuffrè, mostly writing about on case law on corporate law.
From 2011 to 2016 has been in charge to be one of the teaching assistant, assisting in the activity of examination of students, research and publications of the department Public Law of Economy at Università Milano Bicocca.
