As a result of its considerable experience in the area, the team also specialises in advising both buyers and sellers in connection with complex M&A and private equity transactions, assisting listed and unlisted domestic and international clients at every stage of their transactions, from tax and legal structuring to due diligence reviews, to the drafting and negotiation of contractual documentation, through to completion and post-completion matters. On the most complex transactions, the team acts as a kind of general contractor, coordinating the Firm’s internal expertise with external advisors (including leading foreign law firms), thereby providing clients with a single point of contact. The team advises its clients also post-completion, on more routine and day-to-day matters of company and commercial law.

The team’s lawyers have advised on a large number of historical domestic and cross-border acquisitions, mergers, spin-offs, investments, sales and leases of businesses and joint ventures, across a huge range of sectors. They have in-depth expertise on corporate reorganisations, including the optimisation of governance within family businesses and company structures, including with a view to future intergenerational transfers of wealth. The team also advises on developing all kinds of corporate structures and shareholders’ agreements that best address clients’ needs

Most recently the team has established CRCCD Venture, a group focused on advising venture capital clients and businesses engaged in technological innovation, providing integrated advice on establishing investment vehicles and venture capital funds, structuring venture financing operations. More generally, the group advises both investors and/or founders on start-up and scale-up investment rounds, and technologically exciting small and medium-sized businesses at various stages, from pre-seed funding to the growth stage, through to any exit (including by means of a listing on a regulated market).
